Our clients include public corporations and Private Equity firms, which raise capital from institutional investors like pension funds and use the money to invest in or acquire companies that meet certain criteria.
Assisting Business Owners or Senior Management with Raising Equity or Selling their Companies
Adler & Company helps lower middle-market business owners sell their companies or raise capital by introducing them to professional investors whose interests coincide with the owners'. Because we are paid by our clients, the buyers, there is no cost to business owners for this assistance.
Adler & Company assists business owners with raising capital for different purposes. The most common include:
- Complete sale of a company to fund exit by existing owners (Exit)
- Sale of equity to improve the financial strength of a company (Recapitalization)
- Partial sale of a company to provide liquidity and diversification for current owners (Diversification)
- Sale of partial equity stake in company to aggressively pursue expansion opportunities (Growth)
- Sale of the current owner's equity to back management's purchase of a company (Management Buyout)
We can assist business owners who are ready to sell their companies with finding a suitable buyer. In some cases, the owner of a company may not be ready to retire but would like to reduce the percentage of personal net worth that is tied up in their business. By selling a portion of their company and staying on as its President, owners can “take some chips off the table”, become more liquid, more diversified, and still have the ongoing income, tax advantages and financial upside that owning a business offers.
“Buy and Build” Private Equity Firms can take an initial stake, typically starting at 50%, and assist management with growing the company faster than it otherwise would, due to the investment of capital and management talent from the Private Equity Firm. Hopefully, an owner can then sell his or her remaining shares in the company in later years at a higher valuation.
